House Martin Media Terms and Conditions

​

1. Term 

This Agreement shall be completed within an agreed timescale, usually no more than 60 days.  

Either Party may terminate this Agreement for any reason with 30 days written notice to the other Party. 

The Designer will not be held responsible for any loss or damage as result of a delay in the design.

2. Consulting Services  

The Designer agrees that it shall provide its expertise to the Client for all things pertaining to Website Design .

3. Compensation 

In consideration for the Consulting Services, the Client shall pay the Designer an agreed rate (this will vary according to complexity of project) for the initial website design up until publishing, then £30 an hour for any additional changes and maintenance after the project is agreed as complete by both parties. The Designer shall invoice the Client at the end of the design phase, prior to final launch of the website and then once every 30 days and such invoices shall be due and payable within 30 days of the Client’s receipt of the invoice.

4. Intellectual Property Rights in Work Product 

The Parties acknowledge and agree that the Client will hold all intellectual property rights in any work product resulting from the Services including, but not limited to, copyright and trademark rights. The Designer agrees not to claim any such ownership in such work products intellectual property at any time prior to or after the completion and delivery of such work product to the Client.

5. Confidentiality 

The Designer shall not disclose to any third party any details regarding the Client’s business, including, without limitation any information regarding any of the Client’s customer information, business plans, or price points (the Confidential Information), (ii) make copies of any Confidential Information or any content based on the concepts contained within the Confidential Information for personal use or for distribution unless requested to do so by the Client, or (iii) use Confidential Information other than solely for the benefit of the Client.

6. Photos 

The Client agrees that they have ownership or the right to use any photographs that are passed to the Designer.  The Designer will not be held liable for publishing content and images that the client does not have rights to use.

8. Indemnification 

The Client agrees to indemnify, defend, and protect the Designer from and against all lawsuits and costs of every kind pertaining to the Client’s business including reasonable legal fees due to any act or failure to act by the Client based upon the Consulting Services.

9. No Modification Unless in Writing 

No modification of this Agreement shall be valid unless in writing and agreed upon by both Parties.

10. Applicable Law 

This Agreement and the interpretation of its terms shall be governed by and construed in accordance with UK Law. 

The Designer will write a Privacy Policy for the website; it is strongly recommended that this is examined by a legal professional.
